Position Summary:

The Senior Paralegal will report to the SVP, Legal and will be responsible for working with the legal team and key personnel including the contracting department, on a variety of public company and corporate governance matters, legal operations, drafting and reviewing commercial and research agreements, corporate IP filings and prosecution, and other legal projects. The Senior Paralegal will also act as support with respect to the legal department’s software systems, including its contract lifecycle management system, and day-to-day operations. The ideal candidate will thrive in a fast-paced environment, be comfortable working on competing priorities, and be willing to learn new skills and take on complex projects as needed.

Responsibilities:

  • Manage, administer, and maintain the company’s contract management process and system.
  • Monitor legal and contract reviews by outside counsel.
  • Assist the legal team in developing, implementing, and optimizing processes and systems to increase the efficiency of the legal department.
  • Prepare and draft common contracts (e.g., NDAs, MSAs, professional services agreement).
  • Manage Company templates in the document management system(s).
  • Partner with Corporate Attorneys on corporate governance matters, including:

o Draft, prepare, and file corporate documents, including but not limited to name reservations, charter documents and amendments, foreign authority applications, dissolution/cancellation certificates, and LLC and LP agreements, among others.

o Manage and draft corporate resolutions and related documents.

o Maintain and organize corporate meeting minute books.

o Obtain and maintain good standing certificates and corporate documents from Secretaries of State in various jurisdictions.

  • Partner with Corporate Attorneys to manage legal department records projects.
  • Manage worldwide IP filing formalities in coordination with outside counsel.
  • Partner with IP Attorneys to organize patent portfolio reviews, circulate national phase patent filing cost estimates, and track filing decisions from company stakeholders.
  • Provide litigation support as needed, including editing and proofreading of documents and briefs, corresponding with opposing counsel, and developing initial answers to interrogatories and responding to document requests.
  • Conduct legal research.

Qualifications:

  • Bachelor’s degree or higher preferred.
  • 7+ years of paralegal, legal operations, or similar experience supporting Legal and/or Compliance functions.
  • Experience in the Life Sciences Industry is preferred.
  • Law-firm experience at a top law firm is a plus.
  • Paralegal certification a plus.
  • Extensive knowledge of legal principles and practices.
  • Extensive knowledge of legal research techniques.
  • Thorough knowledge of legal contracting principles.
  • In-depth knowledge of local, state and federal laws and regulations.
  • Relevant computer software knowledge and experience.

For this role, the anticipated base pay range is $123,000 - $148,000 The exact base pay offered for this role will depend on various factors, including but not limited to the candidate’s geography, qualifications, skills, and experience.

At Vera, base pay is only one part of your total compensation package. The successful candidate will be eligible for an annual performance incentive bonus, new hire equity, and ongoing performance-based equity.
