Job Summary
The Associate General Counsel will (i) be the lead attorney responsible for all activities relating to managed care contracting including the drafting and execution of all services contracts between the Company and commercial and government payers, (ii) serve as senior-deputy to the CLO/Chief Privacy Officer over all matters relating to the development and management of the Company’s compliance with state and federal privacy laws; and (iii) support the CLO, management and all departments on a wide range of legal matters relating to Doctor On Demand's business operations such as health regulatory compliance, corporate governance, clinical risk management, litigation, investigations and vendor management.
Duties/Responsibilities

Managed Care Contracting
Supervise attorneys and staff with enterprise contracting responsibilities
Draft, negotiate, and review contracts relating to the company’s services offerings to payors, including but not limited to services agreements, reseller agreements, data-share agreements and partnership agreements
Develop, implement and enforce policies and procedures relating to contract requests, term sheet and deal desk activities, and approval processes
Oversee all activities relating to contract management for managed care contracts, including the use of contract management vendors
Serve as a legal and regulatory subject matter expert with respect to managed care
Prepare and deliver presentations to the CLO and senior management relating to the Company’s managed care contracts and contracting activities

Privacy
Advise the organization on complex privacy issues
Draft privacy policies and procedures
Draft and negotiate business associate agreements and data-sharing agreements with Company clients and vendors
Assist in researching and tracking changes to state and federal privacy laws
Support compliance program activities relating to data privacy and security
Serve as a privacy law subject matter expert within the organization

Hire, train, and mentor new team members as necessary
Provide constructive and timely performance evaluations

Additional Responsibilities
Provide general legal advice and direction on a wide variety of matters to resolve operational issues (e.g. relating to regulatory compliance, corporate governance, clinical risk management, litigation and investigations, and vendor management)
Research a broad range of laws and regulations affecting the organization
Maintain all organizational and professional ethical standards
All other duties as assigned
Required Skills/Abilities
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
Strong negotiating and legal drafting skills
Ability to establish and maintain strong relationships within the organization’s legal department and across all businesses.
Excellent critical thinking skills, including ability to prioritize issues
Ability to work independently with little or no supervision
Education and Experience
JD degree accredited by the American Bar Association.
5+ years of Legal experience in general healthcare law.
Physical Requirements
Overnight travel may be required.
Prolonged periods of sitting at a desk and working on a computer.
Must be able to lift up to 15 pounds at times.
