JOB DESCRIPTION: CORPORATE  IN-HOUSE COUNSEL

 

THE POSITION’S PURPOSE:

This position is generally responsible for at least the following tasks:

  1. Address the legal needs of the Company
  2. Advising executives and senior management on various business and legal matters
  3. Legal representation for the Company and/or liaison with outside legal counsel in representing the Company
  4. Mitigating legal risks and ensuring compliance with legal requirements by designing and implementing appropriate policies and procedures
  5. Drafting, reviewing and maintaining corporate contracts, agreements and company statements and representations

This position directly reports to the CEO.

RESPONSIBILITIES: 

  • Advising executive, senior management and board on various matters - new and existing laws, offering counsel on a variety of legal issues/matters and government regulations that include (but not limited to) employment and labor matters & claims, intellectual properties, patents & trademarks, business contracts, practices and policies, and other operational and legal matters; offering counsel on a variety of legal issues
  • Manage the company’s commercial contracts including vendor, customer and partnership contracts
  • Maintaining knowledge of organization’s operations and legal documents
  • Conducting legal research and reviewing company's litigation strategy pertaining to legal actions including liaison with appointed outside counsel and third parties
  • Providing accurate, relevant and timely advice on a variety of legal topics that relate to the business sector and their products or services, service level agreements and products/ services representations, data privacy (e.g., GDPR, EULA, Websites and web properties among others)
  • Preserving all corporate records and establishing a record retention policy
  • Risk mitigation, governance policies and crisis management
  • Ensuring the Company has an adequate compliance program in place including the requirements of a multi-jurisdictional operations and practice
  • Manage claims and litigation
  • Control legal costs and exposures
  • Keep abreast of legislative changes and new laws
  • Other tasks and projects assigned by the senior and operations management (e.g., Court Rules updates, Educational Webinars/Blogs and WriteUps, Training & Transition for Court Rules)

Qualifications

  • At least 10 years’ experience in litigation and general corporate legal matters
  • Proven general counseling experience in business environment
  • In-depth understanding of how legal issues affect organizations
  • Overall broad legal knowledge (corporate law, litigations, labor law, etc)
  • Ability to develop legal strategy and objectives
  • High degree of professional ethics, integrity and gravitas
  • Excellent judgement and analytical skills
  • First class interpersonal and communication skills
  • Bachelor’s degree, J.D. degree and valid bar license in CA is a must
