Corporate Paralegal Duties and Responsibilities:
-Handles all corporate formations, general corporate matters, board minutes, stock transfers, etc.
-Assist with corporate transactions including capital market transactions, venture capital investments, financing and private equity
-Investigating facts and laws of cases and searching public records and other resources to prepare
cases and determine causes of action.
-Maintain corporate minute books
-Supervise filing of documents with government entities
-Retrieve public records
-Create and maintain and update capitalization records
-Maintain closing files for corporate transactions
-Coordinate documents retrieval from government agencies and prepare government filings
-Maintain closing checklists
-Drafting legal documents such as contracts, depositions and pleadings
-Preparing and filing documents with courts
-Organizing and archiving the documents related to completed and ongoing cases
-Gathering and analyzing statutes, decisions, and legal articles, codes, documents and other data.
-Calling on witnesses to testify at hearings.
-Keeping track of changes in legal framework and providing timely updates on these changes
-Conduct investigations, statistical and documentary research.
-Summarize depositions, interrogatories and testimony.
-Administrative items as needed as well as other duties as assigned
Excellent communication and writing ability, organizational skills, analytical skills, and interpersonal skills
The ability to work independently and juggle multiple projects
Must be able to effectively multi-task, manage time-sensitive documents and have exceptional organizational skills in a fast-paced environment
Strong attention to Detail
Proficiency in MS suite and general computer skills required
Education and Experience:
Minimum of 3-5 years of corporate and transactional experience required.
JD Degree, Bachelor’s Degree, or Paralegal Certificate required from an ABA-approved Paralegal certification program of education and training.
Location: Encino, CA
Hours Required: 8 hours a day
Hours of Operation: 8am – 5pm M-F
